Terms and Conditions of Sale
All sales by Seller are subject to these Terms and Conditions, which take precedence over any inconsistent terms in any purchase order or other documents from Purchaser. No modification is binding unless authorized in writing by Seller.
Credit Terms and Interest
If terms are extended, payment is net 30 days from the invoice date unless otherwise agreed in writing. Invoices not paid within 60 days accrue interest at 1.5 percent per month until paid in full.
Delays and Uncontrollable Events
Seller is not liable for delay or failure in delivery due to causes beyond its reasonable control, including governmental action, labor disputes, fire, manufacturer shortages, inability to obtain materials, pandemics, acts of God, or other events beyond Seller’s control.
Manufacturer Warranty Only
All products carry only the manufacturer’s warranty. Seller makes no independent warranties. All warranty claims must be made directly to the manufacturer.
Purchaser Acknowledgment of Manufacturer Warranty
Purchaser acknowledges that Seller is not the manufacturer and that any claims regarding product defects are limited to the manufacturer’s warranty.
Implied Warranties Disclaimer
Except as required by law, Seller disclaims all implied warranties, including merchantability and fitness for a particular purpose. Purchaser accepts products as provided by the manufacturer.
Manufacturer Modifications Disclaimer
Purchaser acknowledges that manufacturers may alter product packaging, labeling, colors, dimensions, or configurations without notice. Seller is not liable for such changes, provided the product remains of like kind and quality. Such changes are not grounds for cancellation, return, or claim.
Specifications and Tolerances
Product descriptions, images, dimensions, and specifications are provided for identification only and may vary within standard commercial tolerances. Minor variations do not entitle Purchaser to reject goods.
Ownership and Risk of Loss
Seller retains title to merchandise until fully paid. Risk of loss passes to Purchaser upon delivery to the carrier. Purchaser is responsible for all freight charges and bears all risk for delays, loss, or damage after shipment.
Inspection and Notification of Damage
Purchaser must inspect all shipments upon delivery. Any damage, shortage, or discrepancy must be noted on the carrier’s delivery receipt and reported to Seller within 48 hours. Failure to provide timely notice constitutes acceptance of the shipment as complete and conforming.
Returns
Returns are accepted in accordance with Seller’s Return Policy. Most non-custom items are eligible for a conditional 30-day return period from receipt, subject to approval and item condition. Exclusions apply, including custom or logoed items, special orders, closeouts, and category-specific restrictions. See the full Return Policy on our Policies page for complete details.
Purchaser’s Responsibility for Deliveries
Purchaser must have agents and facilities available to accept delivery. Purchaser is responsible for freight, demurrage, hold-over, and other charges arising from failure to accept delivery.
Collection and Legal Costs
Purchaser agrees to pay all costs of collection, suit, or legal action, including attorney and paralegal fees, incurred pre-suit, during suit, through trial, and on appeal.
Jurisdiction and Governing Law
All disputes are governed by the laws of the State of Florida. Purchaser agrees that any action shall be brought exclusively in the state or federal courts of Broward County, Florida and waives any objection to jurisdiction or venue.
Waiver of Jury Trial
Purchaser waives the right to a jury trial in any dispute arising from or relating to the sale or use of Seller’s merchandise.
Pricing and Specification Changes
Prices, specifications, and availability are subject to change without notice due to manufacturer changes, market conditions, or supply chain issues.
Limitation of Liability
To the fullest extent permitted by law, Seller’s total liability for any claim arising out of or relating to the sale, delivery, use, or performance of any product shall not exceed the purchase price paid for that product. Seller is not liable for incidental, consequential, special, indirect, exemplary, or punitive damages, including loss of profits, business interruption, loss of data, or loss of goodwill, whether in contract, tort, strict liability, or otherwise, even if advised of the possibility of such damages. No action arising out of the transaction under these terms may be brought more than one year after the cause of action has accrued.
Indemnification
Purchaser agrees to indemnify and hold harmless Seller, its affiliates, officers, directors, and employees from any claims, damages, or expenses arising out of Purchaser’s handling, storage, use, or resale of products.
Severability
If any provision of these Terms and Conditions is found invalid or unenforceable, the remaining provisions remain in full force and effect.
Entire Agreement
These Terms and Conditions constitute the entire agreement between Seller and Purchaser and supersede all prior communications or understandings.
